Private Placements of Equity and Debt
Our team is positioned internationally to raise equity and debt capital from our network of hundreds of private equity firms, venture capital funds, family offices, commercial banks, direct lenders, high-net-worth individuals, and mezzanine funds. We help our clients secure capital and build a plan to increase shareholder value.
Our capabilities include:
- Evaluate the Capital Need: Understand the approximate amount of funding the client requires and where the funds will be allocated.
- Identify Potential Investors: Identify potential investors for the specific type of funding (debt or equity or hybrid) and amount to be raised.
- Private Placement Memorandum (PPM): Work with the client’s legal counsel to design, draft and finalize a private placement memorandum or other selling materials to be provided to potential investors.

Public Merger & Acquisition Advisory
Our professionals advise boards of directors, special committees, suitors, and targets in public merger and acquisition transactions. We help clients navigate the complexities of these transactions, from early stage strategy and tactics, to structuring, negotiation, and execution. We work with our clients’ legal counsel to advise on every element of these complex deals.

How do I keep the sale of my business confidential?
Confidentiality is central to our process. Before sharing any information, we ensure that all parties execute a mutual non-disclosure agreement, legally binding them to maintain strict confidentiality. Throughout the engagement, we use a highly secure virtual data room with controlled, permission-based access so that you have complete visibility and control over who can view sensitive information and when.

Do I need an attorney and/or an accountant?
FE International has an in-house team of experienced legal and financial professionals who serve as your first point of support throughout the transaction. Depending on the complexity and specific requirements of the deal, we may recommend engaging external legal counsel, but in most cases our internal team can address the majority of questions and guide you through the process.
On the financial side, FE has an audit team that is comprised of highly experienced CPAs. It handles all accounting-related aspects of the transaction. Whether you need assistance preparing financial statements, validating metrics, or conducting a full audit, our team has extensive experience supporting founders and buyers through even the most complex transactions.
What do you expect from a seller in order to be able to accurately value and start marketing the sale of a business?
To begin the process, we first execute a mutual non-disclosure agreement to ensure all information remains fully protected. For an accurate valuation, we request a set of preliminary information which typically includes historical financials and key SaaS metrics. This allows us to assess the company’s performance, trends, and core KPIs.
Once we complete the valuation and review our terms of service with you, we proceed with onboarding. This includes a more detailed data review and the completion of preliminary due diligence, during which we gather comprehensive operational, financial, and product information. We will clearly communicate each data requirement and guide you through the process step by step.

What are the terms of your representation/engagement agreement?
Our engagement terms are tailored to each business and are based on our complimentary preliminary assessment, which helps us determine the appropriate scope and structure of the mandate. In most cases, our agreements include a 6–12-month engagement period, along with a combined retainer and success fee. The retainer is fully credited against the success fee, ensuring full alignment with achieving a successful outcome.

Why do I have to sign a non-disclosure agreement?
A non-disclosure agreement ensures that confidential information shared by both parties remains fully protected. Throughout the process, you will provide sensitive details about your business such as financial data, product information, and strategic roadmap. Likewise, we share confidential insights, including FE’s proprietary methodologies, precedent transaction data and valuation assessments.
The NDA safeguards this information on both sides, creating a secure foundation for open, transparent, and productive discussions.
