Acquisitions
We assist clients in acquiring public and private target businesses. We are not simply a ‘finder’; we advise clients on sourcing, strategy, and execution of their target acquisitions.

We provide M&A sell-side advisory services to lower-middle-market technology businesses throughout the world. We help clients sell or divest their business or individual assets strategically and efficiently.

- Due Diligence: Conduct due diligence with the goal of maximizing the seller’s valuation.
- Strategic Positioning: Identify value drivers and the narrative of seller’s business.

Private Placements of Equity and Debt
Our team is positioned internationally to raise equity and debt capital from our network of hundreds of private equity firms, venture capital funds, family offices, commercial banks, direct lenders, high-net-worth individuals, and mezzanine funds. We help our clients secure capital and build a plan to increase shareholder value.
Our capabilities include:
- Evaluate the Capital Need: Understand the approximate amount of funding the client requires and where the funds will be allocated.
- Identify Potential Investors: Identify potential investors for the specific type of funding (debt or equity or hybrid) and amount to be raised.
- Private Placement Memorandum (PPM): Work with the client’s legal counsel to design, draft and finalize a private placement memorandum or other selling materials to be provided to potential investors.
- Investor Presentations: Coach, advise, and assist the client with presentations to potential investors either individually or in investor groups.
- Due Diligence: Manage the investor due diligence investigation process on behalf of the client, emphasizing investment merits and explaining issues.
- Completing the Capital Raise: Finalize the terms, conditions, and pricing, and with legal counsel, the definitive documentation for the raise, with emphasis on the pricing and the total number of securities to be issued.
Public Merger & Acquisition Advisory
Our professionals advise boards of directors, special committees, suitors, and targets in public merger and acquisition transactions. We help clients navigate the complexities of these transactions, from early stage strategy and tactics, to structuring, negotiation, and execution. We work with our clients’ legal counsel to advise on every element of these complex deals.
Our capabilities include:
- Strategy and Tactics: Develop a sector acquisition strategy along with tactics for approaching a would-be target.
- Facilitating or Defending the Approach: Approach a target or repel a suitor, creating competitive tension.
- Definitive Agreement Negotiation: Negotiate preliminary letters to the board, indications of interest, term sheets, memoranda of understanding, and ultimately a definitive merger agreement between the acquirer and the target.
- SEC Filing: Work with legal counsel to draft preliminary proxy materials with which to solicit the approval of the target’s shareholders.
- SEC Review and Revisions: Assist legal counsel in addressing SEC comments, make necessary revisions to the proxy materials, and oversee distribution of the definitive proxy materials.
- Shareholder Adoption: Advise and assist the client in presentations advocating the adoption of the merger agreement by the target shareholders, and coach client on responses to anticipated questions from stakeholders.
- Closing Merger Conditions and Transition Issues: Advise the client in administration of conditions to the parties’ obligations, including receipt of required regulatory approvals, transition plans, employment agreements for key employees, and other matters, to close the merger.
